FC2 Upgrade to RHEL 4?

Is it reasonable to go from FC2 to RHEL 4?

Is it reasonable to expect being able to upgrade as opposed to
backup/install clean/reload?

I use a dual boot system with the XP boot loader loading GRUB
from (hd0,2) and then managing boot from there with GRUB.
Are there any "gotchas" in such a system? Putting GRUB into
the MBR is not an option on this machine.
