I personally have no idea what the implecations would be with an
upgrade.  I am sure no one here would suggest an upgrade over a clean
install, but sometimes there just isn't an option.

As far as how to do it without CD's I am not sure, I have plenty of
bandwidth here and often forget about those who don't.
