what does the gnome settings daemon do?

/usr/libexec/gnome-settings-daemon &

It sets up the GNOME settings - mouse, icons, wallpaper, etc. Nautilus does not run well without gnome-settings-daemon

Also what's the benefit of launching icewm with "exec"

From "man exec"...

exec [-cl] [-a name] [command [arguments]] If command is specified, it replaces the shell. No new process is created. <details snipped>

Basically it saves resources by not having useless shell processes hanging around.
