2.6.5 update problem

Hello all,

I get the following issue when i try to update to
2.6.5. I have upgraded the packages as in the
documentation/changes file. 
My gcc version is Red Hat Linux 3.2.2-5
kernel version is 2.4.20-8
The error i get is 

Mounting root filesystem
mount: error 19 mounting ext3
pivotroot: pivot_root(/sysroot,/sysroot/initrd)
failed: 2
Freeing unused kernel memory: 244k freed
Kernel panic: No init fount. Try passing init= option
to Kernel.

What could be the reason ?
