Can't increase the number of open files limit in RHEL AS 4. Pleasesuggest.

ulimit is showing you your soft limit I believe.
Put a soft limit in limits.conf then try again.

>From the ulimit bash manpage the hard file limit may not be allowed to be set on some systems. Im not sure if this applies to RHEL4.
